Terms & Conditions:

This is a legal agreement between you, the Registered User, or User, and Ribbit Corporation, the provider of Ribbit services. This agreement applies to your use of Ribbit technology, software, documentation, and telecommunication services that are provided to you by using Ribbit services (Services). By registering for Ribbit services, you agree to the terms and conditions of this Agreement. Please read this Agreement carefully. If you do not agree to the terms of this Agreement, DO NOT register for Ribbit services. By registering for Ribbit services, you accept and agree to be bound by the terms of this Agreement, including prices, charges, and terms and conditions of the service provided during the service registration process including marketing and informational materials associated with service offers, and on the Ribbit web site, all of which are incorporated herein by reference.

When you Register for Ribbit, you Agree to these Terms:

By registering for Ribbit Services you are entering into a legal binding agreement with Ribbit. By your registration for and/or use of Ribbit services you agree to the use of electronic communication in order to enter into agreements, place orders, and to the electronic delivery of notices, policies and records of transactions. You also waive any rights or requirements under any laws or regulations in any jurisdiction which require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent permitted under applicable mandatory law.

Ribbit Services Include:

• Ribbit Messaging - provides members with a voice mail system accessible from any voice communication device, the Internet using a browser, e-mail messaging, and via short message service.
• Ribbit Reach - provides members with the ability to answer phone calls directed to public switched telephone network (PSTN) phones (mobile or wireline) using a computer connected to the Internet and equipped with voice over instant message or softphone software (software that can replicate the features of a telephone using voice over Internet protocol [VoIP]).
• Ribbit Phone - provides a phone-in-a-browser. The Ribbit Phone is software that enables a web page displayed in a browser to transmit full-duplex (simultaneously two-way) voice to the Ribbit service.

Ribbit is not a Traditional Telephone Service

Ribbit is neither a traditional telephone service nor a replacement for your primary telephone service. Ribbit is an enhanced voice communication service. Voice communication is received by Ribbit and converted to Internet Protocol (IP) and delivered via high-speed Internet access. The service cannot be used to make operator-assisted or collect calls.

Ribbit Does Not Provide Emergency Services

Ribbit does not provide Emergency Services. "Emergency Services" means services that connect a user to emergency services personnel or public safety answering points pursuant to applicable local and or national regulatory requirements. Ribbit is not a traditional telephone service or a replacement for your primary telephone service. There are important differences between traditional telephone services and services provided by Ribbit. You need to make additional arrangements in order to access emergency services. It is your responsibility to purchase, separately from Ribbit services, traditional wireless or fixed line telephone services that offer access to emergency services. In the event that, with your permission, another user uses your account, it is your responsibility to inform that user that it is not possible to support or carry emergency calls using the Ribbit services.

Neither Ribbit, its affiliates nor their respective officers, directors, employees or agents may be held liable for any claim, damage, or loss, and you hereby waive, to the maximum extent permitted by applicable law, any and all such claims or causes of action, arising from or relating to the use of the Software or any other service provided hereunder to contact Emergency Services personnel. You shall defend, indemnify, and hold harmless Ribbit, its affiliates and their respective officers, directors, employees or agents and any other service provider who furnishes any services to you in connection with the Software or any other services provided under these Terms, from any and all claims, losses, damages, penalties and expenses (including, without limitation, attorneys fees) by, or on behalf of, you relating to the absence, failure or outage of the service provided by the Software or any other service provided hereunder, including specifically any claims arising out of the failure of Ribbit to offer Emergency Services.

You acknowledge and accept that Ribbit does not offer Emergency Services. You understand that additional arrangements must be made to access Emergency Services. To access Emergency Services, you acknowledge and accept your responsibility to purchase, separately from any service provided by the Software, traditional wireless or wireline telephone service that offers access to Emergency Services. You recognize and agree that Ribbit is not required to offer Emergency Services pursuant to any applicable local and or national rules, regulation or law. You further recognize that Ribbit is not a replacement for your primary telephone service.

What You Need to Get the Most of Ribbit:

In order to make full use of Ribbit Services, you must provide certain equipment and services. You must provide Internet connection services including a computer, modem, speakers, and microphone. You must also subscribe to local exchange telephone services or wireless telephone services that include "call forwarding on busy and no-answer" calling feature.

Ribbit is not Endorsed or Certified by Third Party Service providers

Certain features of Ribbit Services depend on you subscribing to third party services such as Google Talk, Skype, or MSN (Third Party Services). You acknowledge that Ribbit has no relationship with Third Party Services and that although the Ribbit service provides connectivity to Third Party Providers\' Internet telephone services, neither Ribbit nor Ribbit Services are endorsed or certified by providers of Third Party Services.

Ribbit Services may also make available materials, information, and services provided by third parties. These "Third-Party Services" are provided by separate companies under license agreements that accompany those services. Ribbit offers no guarantees and assumes no responsibility or liability of any type with respect to the Third-Party Services, including any liability resulting from incompatibility between the Third-Party Services and the Ribbit Services. You agree that you will neither hold nor seek to hold Ribbit responsible or liable with respect to the Third-Party Services.

Use of Ribbit Services

You agree to use Ribbit Services for lawful purposes only. You will not use Ribbit Services for unlawful, abusive, or fraudulent purposes. If Ribbit has reason to believe that you or someone else is abusing the Services or using it fraudulently or unlawfully, we can immediately suspend, restrict, or cancel the Service without advance notice.
